Name of the society |
The name of the society (herein after called “The Society”) shall be Central Medical Services Society (CMSS) |

Area of Operation |
The area of operation of the Society shall extend to the whole of India. |
3. |
Location |
he Society shall have its registered office at Nirman Bhawan, Maulana Azad Road, New Delhi-110108 with the right to establish one or more subordinate offices elsewhere in the country, if so required. |

Objectives |
The Society shall function as an independent, professional and autonomous agency for procurement of quality health sector goods and services required by the Department of Health and Family Welfare, Ministry of Health & Family Welfare, Government of India in a transparent and fair manner and make the goods available at convenient locations for the benefit of the users by addressing efficiently the supply chain issues. It will also undertake similar tasks for any other Ministry/Department of Government of India, State Governments or any other agency with the prior approval of the Ministry of Health and Family Welfare. |

Functions |
To achieve the above objectives, the Society shall direct its resources towards performing the following functions:
- Procure or otherwise acquire vaccines, contraceptives and drugs, chemicals, lab resources, surgical dressings, health kits and any other health sector goods of desired quality, quantity and specifications for and on behalf of either Central or State Governments or any other institution or agency of national or international repute through an efficient, effective, economic, transparent and legally acceptable procurement process;
- Procure quality medical equipment and instruments for and on behalf of either Central or State Governments or any other institution or agency of national or international repute through an efficient, effective, economic, transparent and legally acceptable procurement process;
- Store, preserve, distribute and manage warehouses/stores at different locations across the country to ensure the smooth and timely supply of health sector goods;
- Provide technical and managerial advice to Ministry/Department of Central Government, State Governments or any other agency of repute on procurement of health sector goods and services.
- Put in place excellent quality control systems throughout the entire distribution cycle starting from the point of sourcing till final distribution to ensure the quality of health sector goods so procured;
- Establish modern warehouses, storage rooms, and cold storage facilities in various locations within India or elsewhere for safe and convenient storage of medicines, surgical products and other medical and para-medical products of all description;
- Hold exhibitions, meetings, lectures, classes, seminars, workshops, courses or other events either alone or with others;
- Promote research, experimental work, scientific investigations and development of any aspect of the objectives of the Society and its work and to disseminate the useful results of any such research for public benefit; and
- Assist State Governments or any other agency for procurement reform in the health sector with the prior approval of the Ministry of Health & Family Welfare.
- Procurement of services required for efficient performance of the functions mentioned above.

Organization |
For performing the above functions, the Society shall:
- Establish the required administrative structure to manage the day to day functions of the Society;
- Create administrative, technical and other support systems in the Society as deemed necessary;
- Formulate its own policy and procedures for recruitment, compensation, retention and dismissal of personnel as required for the efficient functioning of the Society; and
- Make rules and byelaws for the efficient management of the Society and add, rescind or vary them from time to time, as deemed necessary towards achieving the objectives set above.

The names, addresses, occupations and designations of the members of the Governing Body of the Society to whom, by the rules and regulations of the Society, the management of the affairs of the Society is entrusted, as required under Section 2 of the Societies Registration Act, 1860 (no. - The maximum and minimum membership of the Governing Body of the Society shall be 21 and 7 respectively. The Ministry of Health & Family Welfare, Government of India will have powers to nominate other ex-officio members including representatives of States/UTs Government and domain experts on Procurement & Supply Chain to the Governing Body as and when required subject to the above limits.
- A copy of the Rules and Regulations of the Society certified to be a correct copy by three members of the Governing Body is filed along with this Memorandum of Association.

Declaration |
We, the several persons whose names and addresses are mentioned below having associated ourselves for the purpose described in this Memorandum of Association do hereby subscribe our names to this Memorandum of Association and set our several and respective hands hereunto and form ourselves into a Society under the Societies Registration Act, 1860 (Act No. XXI of 1860): this 22nd March day of 2012. |
